Terms of Service

1. Acceptance of terms

By creating an account or using ClientCheck, you agree to these Terms of Service ("Terms"). If you are using ClientCheck on behalf of a practice or organisation, you confirm that you have authority to bind that entity to these Terms.

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.

2. Description of service

ClientCheck is a software platform that assists Australian accounting and legal practices in meeting their obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (AML/CTF Act).

The platform provides tools for client due diligence (CDD), suspicious matter reporting (SMR), threshold transaction reporting (TTR), cross-border movement (CBM) reporting, staff training, and program documentation.

ClientCheck is provided as a subscription service (SaaS). We may update, modify, or discontinue features with reasonable notice.

3. Account registration and security

You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your account credentials.

You must notify us immediately at hello@clientcheck.com.au if you become aware of any unauthorised access to your account.

We reserve the right to terminate accounts that we reasonably believe have been compromised or are being used in breach of these Terms.

4. Subscription and payment

ClientCheck is offered on a subscription basis (monthly or annual). Pricing is displayed at clientcheck.com.au/pricing.

Subscriptions are billed in advance. Annual subscriptions are non-refundable after the 14-day free trial period. Monthly subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period.

We may change pricing with 30 days' written notice to your account email. Continued use after the notice period constitutes acceptance.

All prices are in Australian dollars (AUD) and are inclusive of GST where applicable.

5. Acceptable use

You must use ClientCheck only for lawful purposes and in accordance with these Terms. You must not:

- Use ClientCheck to process false or fraudulent compliance records - Attempt to circumvent any security or access controls - Use ClientCheck in any way that violates the AML/CTF Act or related regulations - Share your account credentials with persons outside your practice - Attempt to reverse engineer or copy the ClientCheck platform

We reserve the right to suspend or terminate access for breach of this section without notice.

6. Compliance disclaimer

ClientCheck is a tool to assist practices in meeting their AML/CTF obligations. It does not constitute legal advice.

Practices are responsible for their own compliance with the AML/CTF Act and Rules. Using ClientCheck does not guarantee compliance. Your practice must review all generated documents — including the risk assessment, policy document, and process document — and customise them to accurately reflect your specific circumstances before adopting them as your AML/CTF program.

Document generation features produce drafts based on your answers. You must ensure these documents are accurate and appropriate for your practice before senior manager approval and AUSTRAC enrolment.

Practices should seek independent legal advice where needed. ClientCheck is not a substitute for professional legal or compliance advice.

7. Intellectual property

ClientCheck and all associated software, content, and materials are the intellectual property of ClientCheck Pty Ltd. These Terms do not grant you any rights in ClientCheck's intellectual property beyond what is necessary to use the service.

You retain ownership of your data and your client data. You grant ClientCheck a limited licence to store and process your data for the purpose of providing the service.

8. Data handling and security

We handle your data in accordance with our Privacy Policy (clientcheck.com.au/privacy). By using ClientCheck, you agree to the collection and use of information as described in that policy.

We implement industry-standard security measures including encryption in transit, encryption at rest, access controls, and regular security reviews. However, no system is completely secure and we cannot guarantee absolute security.

In the event of a data breach that is likely to result in serious harm, we will notify affected users and the Office of the Australian Information Commissioner (OAIC) as required by the Notifiable Data Breaches scheme.

9. Limitation of liability

To the maximum extent permitted by Australian law:

ClientCheck's liability for any claim arising from these Terms or your use of the service is limited to the amount you paid for the service in the 12 months preceding the claim.

ClientCheck is not liable for any indirect, incidental, consequential, or special damages arising from your use of the service, including any compliance penalties, fines, or sanctions imposed by AUSTRAC or any other regulatory body.

Nothing in these Terms excludes liability for fraud, or any liability that cannot be excluded under Australian Consumer Law.

10. Termination

You may cancel your subscription at any time through your account settings or by emailing hello@clientcheck.com.au.

We may suspend or terminate your access if you breach these Terms, fail to pay your subscription, or if we are required to do so by law.

After termination, your data is retained for 90 days and then archived. Compliance records are retained for 7 years. You may export your data at any time during the 90-day period.

11. Governing law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising from these Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
